Course objectives
The aim of this course is to provide students necessary knowledge of organizational and contractual ways of entering new markets. It Is focused on understanding and knowledge of legal issues, business sector in international trade. The students will get acquainted with the key issues of legal regulation in the field of international trade business in the conditions of market economy, including the binding application management in the Czech Republic on international trade.
Syllabus
  • Introduction to the law of international trade
    Definition of the international business law, legal sources and methods of international business law. International element.
    The sources of law of international trade
    International, domestic and communitarian legal sources of law. Unification and harmonization of law. Auxiliary sources of law. Direct and conflicting rules. Determination of applicable law.
    Contractual forms of entering foreign markets
    Characteristics of contractual relations, franchising, distributionship contract, business representation contract.
    Organizational forms of entry into foreign markets
    Establishing a branch company abroad, establishing a business entity abroad, relocation of a legal entity´s place of business abroad, establishing some of the types of business entity, establishing a joint-venture.
    International purchase sale
    Sources of legal regulation on international sale of goods, United Nations Convention on Contract for the International Sale of Goods and sphere of application and general provisions, conditions of application.
    The procedure for the conclusion of a purchase contract
    Contract proposal, acceptance of the proposal and conclusion, significant and insignificant changes of contract conditions.
    Rights and obligations of the parties to the contract
    General obligations of seller, delivery of the goods, place of delivery, transfer of the ownership of property, general obligations of the buyer, payment of the price, taking delivery.
    Liability for breach of contract
    Liability for defects, defects of substance, legal defects, apparent defects, latent defects, transfer of the risk, notice of defects, remedies for breach of the contract.
    INCOTERMS delivery terms and conditions INTRATERMS
    Characteristics of INCOTERMS and their incorporation into contracts, conditions of their application, different types of commercial terms under INCOTERMS, international trade terms.
    Contracts concluded in the international transport
    Legal sources of regulations in international transport, international rail services, international road transport, maritime transport, international air transport.
    International security and the means of payment
    Payment methods in international trade, letter of credit, documentary collection, securing instruments in international trade.
    Legal aspects of the settlement of disputes in their relations with international element
    Methods of dispute settlement, trial in international trade, determination of territorial jurisdiction, recognition and execution of decision in the EU.
    Arbitration in international trade
    General characteristics of arbitration and its advantages, arbitration agreement in international trade, recognition and enforcement of arbitral awards.
